Partner Terms & Conditions

Summary (not a substitute for the full terms below): As a Platesfull referral partner, you drive bookings through your unique referral link. Commission is only applicable where agreed in your individual partner arrangement — rates, structure, and payment terms vary by partner and are not detailed in these general terms. Either party may terminate on 30 days' written notice. You may not misrepresent our services or use our brand outside the permitted scope below.

1. Parties and Agreement

These Partner Terms & Conditions (the "Agreement") are between Platesfull Inc., a Delaware corporation with its principal place of business in Texas ("Platesfull," "we," "us," or "our"), and the entity or individual identified in the partner account ("Partner," "you," or "your").

By accessing the Partner Portal or submitting a booking referral through your designated referral link, you agree to be bound by this Agreement in its entirety. If you do not agree, do not access the portal or use your referral link.

Where Platesfull has issued you a separate written Partner Agreement, that document's specific commercial terms (commission rate, minimum guarantees, exclusivity, etc.) take precedence over this Agreement to the extent of any conflict. All other provisions of this Agreement remain in full force.

2. The Referral Program

2.1 How referrals work

Platesfull operates an online marketplace connecting guests with vetted private chefs for in-home dining experiences, private events, and vacation rental stays. As a Partner, you receive a unique referral URL containing your partner identifier (the "Referral Link"). Any customer who submits an inquiry to Platesfull via your Referral Link is considered a referred inquiry.

2.2 Qualifying bookings

A referred inquiry becomes a qualifying booking — and commission becomes due — only when all of the following conditions are met:

Referral attribution is tracked via your unique partner slug appended to the inquiry URL. Attribution is assigned at the time the inquiry form is submitted. Platesfull does not use cookie-based or last-click attribution across sessions; the partner slug embedded in the inquiry URL is the sole attribution mechanism.

2.4 No double counting

If a customer submits multiple inquiries through the same Referral Link, commission is payable only on qualifying bookings, not on duplicate or exploratory inquiries that do not convert.

3. Commission & Payouts

3.1 Applicability

Commission is only applicable where expressly agreed between Platesfull and the Partner. Not all partner arrangements include a commission component. Where no commission is specified in your individual partner agreement or partner account, this Section 3 does not apply to your arrangement.

3.2 Commission terms

Where commission applies, the specific rate, structure, and calculation method are set out in your individual partner agreement or as configured in your Platesfull partner account. Commission terms vary by partner and are not detailed here. Platesfull may adjust your commission terms prospectively with 30 days' written notice. Any adjustment does not affect qualifying bookings already confirmed before the notice date.

3.3 When commission is earned

Where applicable, commission is earned only on qualifying bookings as defined in Section 2.2. No commission is payable on inquiries that do not convert to a confirmed, paid booking, on cancelled bookings, or on bookings not attributed to your Referral Link.

3.4 Payment timing

Where commission is due, Platesfull processes payouts within 30 days of the end of the calendar month in which the qualifying booking's payment was confirmed. Platesfull will contact you with payout details each cycle. Payouts are made via bank transfer, ACH, or another method mutually agreed between the parties. You are responsible for providing accurate payment details; Platesfull is not liable for delays or losses resulting from incorrect information.

3.5 Taxes

You are solely responsible for all taxes, duties, or levies applicable to any amounts received from Platesfull. Platesfull will issue a Form 1099 or equivalent tax document where required by applicable law. You represent and warrant that you have provided accurate tax identification information to Platesfull.

3.6 Disputes

Payout disputes must be raised in writing to info@platesfull.com within 60 days of the relevant payout date (or, for missing payouts, within 60 days of the end of the relevant payout cycle). Disputes raised after this period will not be considered.

4. Partner Obligations

4.1 Accurate representation

You must represent Platesfull's services accurately and in good faith. You may not make false, misleading, or exaggerated claims about Platesfull, its chefs, pricing, availability, or quality.

4.2 Permitted promotion

You may promote Platesfull and your Referral Link through your own website, guest communications, welcome guides, digital listings, social media channels, and email newsletters — provided all promotion complies with applicable laws (including CAN-SPAM, GDPR where applicable, and FTC endorsement guidelines) and does not constitute spam.

You are responsible for ensuring that all your promotional activities comply with applicable federal, state, and local laws and regulations, including consumer protection, data privacy, and advertising standards.

5. Brand & Intellectual Property

5.1 Limited license

Platesfull grants you a limited, non-exclusive, non-transferable, revocable licence to use the Platesfull name, logo, and approved marketing materials solely for the purpose of promoting your Referral Link in accordance with this Agreement. Any use beyond this scope requires prior written approval.

5.2 Brand guidelines

You must follow Platesfull's brand guidelines as provided or updated from time to time. You may not alter, distort, or combine the Platesfull logo with other marks. Upon termination of this Agreement, your licence to use the Platesfull brand immediately ceases.

5.3 Ownership

Nothing in this Agreement transfers any intellectual property rights to you. Platesfull retains all rights, title, and interest in and to its name, trademarks, platform, technology, content, and data.

6. Confidentiality

Each party may receive confidential information of the other in connection with this Agreement (including commission rates, business strategies, customer data, and platform information). Each party agrees to hold the other's confidential information in strict confidence and not to disclose it to any third party without prior written consent, except as required by law. This obligation survives termination of this Agreement.

You must not disclose customer information obtained through the portal (including guest names, contact details, or booking information) to any third party or use it for any purpose other than tracking your referral performance.

7. No Exclusivity

This Agreement is non-exclusive. Platesfull may partner with any other individuals or entities, including your competitors. You may promote other products and services that do not compete directly with Platesfull's private chef marketplace, provided such promotion does not breach any obligations in this Agreement.

9. Disclaimers & Limitation of Liability

9.1 No guarantee of earnings

Platesfull makes no representation or guarantee regarding the number of referrals, bookings, or commission amounts you will earn. Your results depend on your promotional efforts, market conditions, and customer behaviour, all of which are beyond Platesfull's control.

9.2 Service availability

Platesfull's platform is provided "as is." We do not guarantee uninterrupted availability of the platform, the Partner Portal, or your Referral Link tracking.

9.3 Limitation of liability

To the fullest extent permitted by law, Platesfull's total liability to you under or in connection with this Agreement — whether in contract, tort (including negligence), or otherwise — is limited to the total commissions paid to you in the three months immediately preceding the event giving rise to the claim. Platesfull is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or business opportunity.

9.4 Indemnity

You agree to indemnify, defend, and hold harmless Platesfull and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of this Agreement; (b) your promotional activities; or (c) your violation of any applicable law or third-party rights.

10. Term & Termination

10.1 Term

This Agreement commences when you first access the Partner Portal or use your Referral Link, and continues until terminated by either party.

10.2 Termination by either party

Either party may terminate this Agreement at any time by providing 30 days' written notice to the other party. Notice to Platesfull should be sent to info@platesfull.com.

10.3 Immediate termination

Platesfull may terminate this Agreement immediately, without notice, if you:

On termination: (a) your portal access and Referral Link will be deactivated; (b) your brand licence ceases immediately; (c) commissions earned on qualifying bookings made before the termination date will be paid on the normal schedule; and (d) commissions for bookings initiated after termination are forfeited.

11. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to this Agreement that the parties cannot resolve informally shall be subject to binding arbitration administered by JAMS in Austin, Texas, under its Streamlined Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction. The parties waive any right to a jury trial in connection with disputes arising under this Agreement.

12. Changes to This Agreement

Platesfull may update these Terms & Conditions at any time. We will provide at least 14 days' notice of material changes by email to your registered partner email address or via a notice in the Partner Portal. Your continued use of the Partner Portal or Referral Link after the effective date of any update constitutes acceptance of the revised terms. If you do not agree to the revised terms, you must stop using the portal and notify Platesfull of your wish to terminate.
